1. Acceptance of Terms

By accessing and using the Case Management Software ("the Software") provided by eDoc Technologies ("we", "us", "our"), the Client ("you", "your") agrees to be bound by these Terms of Service. These terms govern your use of the Software and associated services.

2. License Grant

edoc Technologies grants the Client a non-exclusive, non-transferable, limited license to use the Software solely for internal operations within the authorized government agency.

  • The Software may not be resold, sublicensed, or distributed without prior written consent.
  • All rights not expressly granted are reserved by eDoc Technologies.

3. Authorized Users

Only authorized personnel designated by the Client may access and use the Software. The Client is responsible for managing user accounts, maintaining confidentiality of login credentials, and ensuring appropriate access controls.

4. Client Responsibilities

The Client agrees to:

  • Use the Software in compliance with all applicable local, state, and federal laws.
  • Not use the Software to transmit or store malicious or unlawful content.
  • Notify edoc Technologies promptly of any unauthorized use, suspected breaches, or software issues.

5. Support and Maintenance

edoc Technologies will provide software support, updates, and maintenance according to the terms outlined in the Client's service agreement or maintenance contract.

6. System Requirements

It is the Client’s responsibility to ensure that the hardware, network, and infrastructure used to access the Software meet the minimum system requirements provided by eDoc Technologies.

7. Data Ownership

All case and personal data entered into the Software remains the exclusive property of the Client. edoc Technologies will not access, share, or use such data except as necessary to provide support services or as required by law.

8. Data Security

edoc Technologies implements reasonable and appropriate security measures to protect the confidentiality and integrity of data. However, the Client remains responsible for internal data access policies and end-user behavior.

9. Service Availability

edoc Technologies will use commercially reasonable efforts to ensure Software availability. Planned maintenance and updates may occasionally result in temporary downtime, for which advance notice will be provided when feasible.

10. Limitation of Liability

To the maximum extent permitted by law:

  • edoc Technologies shall not be liable for indirect, incidental, special, or consequential damages.
  • Our total cumulative liability shall not exceed the total amount paid by the Client for Software services in the 12 months preceding the claim.

11. Termination

Either party may terminate the service with written notice in accordance with contractual terms. Upon termination, the Client may request a final data export and is responsible for securing and storing its data.

12. Modifications to Terms

We reserve the right to update these Terms of Service from time to time. Clients will be notified of material changes and continued use of the Software constitutes acceptance of the updated terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be subject to the jurisdiction of courts located in McLennan County, Texas.
